Overview

Copula’s Legal Long-Horizon Task Environments are constructed under the direction of experienced legal practitioners. Each datapoint is a complete work package containing dozens to hundreds of contracts, emails, minutes, accounts and evidentiary documents. Models must verify information across files, apply legal reasoning, calculate amounts and produce professional documents within a complex document environment.

Tasks cover the full workflow from receiving instructions and identifying key materials to reconciling versions and conflicting facts, applying rules, and producing multiple deliverables for lawyer or client review. Conclusions must be traceable to facts and legal authorities, while risk assessments, calculations and action sequences must remain consistent across deliverables. The focus is long-context understanding, evidence integration and practical decision-making.

You are a member of the buyer’s legal team. Review the target company’s closed data room and identify material legal issues that may affect signing, closing or post-closing business continuity in a proposed acquisition of 80% of its registered equity, with a requirement that the buyer hold at least 80% on a fully diluted basis at closing.

Submit four deliverables:

  1. red_flag_memo.md: an executive summary, issue-by-issue analysis, risk levels, evidence locations and recommended actions;
  2. issues_list.json: a structured issues list;
  3. consent_action_matrix.csv: third-party consents, notices and closing actions;
  4. follow_up_questions.md: missing materials and questions for the seller.

Write all deliverables to outputs/. Each conclusion must cite document IDs from VDR-001 to VDR-100 and, where possible, identify the relevant clause, table field, email date or document status. You may choose your own issue numbering, but it must be consistent across all four deliverables.

The review date and legal snapshot date for this simulation are both September 5, 2026. Use the supplied legal snapshot as the closed-environment baseline. Do not browse the internet or assume that inquiries will produce new evidence during this round. Missing material does not establish that an event did not occur: mark uncertainties and propose a verification path. Do not treat similarly named entities, historical versions, unsigned templates, drafts or ordinary assignment restrictions as effective change-of-control provisions.

Where transaction arrangements need to change, provide actionable recommendations; a complete redraft of the agreement is not required. Documents presenting no material risk need not each receive a separate entry. Observe the negative controls and avoid unsupported findings of illegality, termination or invalidity.
