1. General Provisions
- 1.This Copula Website User Agreement (this “Agreement”) is entered into between Shanghai Kepulangzhi Technology Co., Ltd. (“we”, “us” or the “Operator”) and the individuals, legal persons and unincorporated organizations that use the Services (each a “User”, or “you”). This Agreement applies when you visit the Copula website (https://www.copulalab.com/, the “Website”), browse information on the Website, and provide materials to us, make enquiries or discuss cooperation with us through the contact details listed on the Website (together, the “Services”).
- 2.Before using the Services, please read carefully and make sure you understand all the terms of this Agreement, in particular those highlighted in bold that materially affect your interests, such as the limitations of liability, your obligations as a user, governing law and dispute resolution. If you have any questions, please contact us through the contact details listed in this Agreement.
- 3.By ticking a box on a relevant page to agree to this Agreement, or by expressly agreeing to it in writing, such as by email, you confirm that you have read, understood and accepted this Agreement and have entered into it with the Operator. If you do not agree to this Agreement or any of its terms, do not use the Services. If you accept this Agreement or communicate with us on behalf of an organization, you must make sure that the organization has lawfully authorized you to do so.
- 4.The Services are not intended for minors under the age of 18. If you are under 18, do not use the Services or provide us with personal information. If we identify or discover that a minor under 18 is using the Services or has provided us with personal information, we will immediately stop providing the relevant services to them, stop processing their personal information and delete it.
- 5.We may amend or supplement this Agreement in light of changes in laws and regulations or in how the Services actually operate, and will publish the revised version and its effective date on the Website. For changes that materially affect your interests, we will notify you by appropriate means, such as a prominent notice; where the law requires us to obtain your consent again, we will do so before the changes take effect.
- 6.Third-party partners may provide technical support, servers, storage and other services needed to run the Website. Their involvement does not affect the validity of this Agreement, nor does it reduce any liability we bear under the law or exempt us from such liability. Where personal information is involved, we will process it in accordance with the Copula Website Privacy Policy and applicable laws and regulations.
2. Providing Materials and Communication
- 1.You may send us an introductory file package, a cooperation proposal or a related enquiry by email to the address published on the Website or through another channel we have confirmed. An introductory file package may include the name of the individual or organization, a contact email, the project name, a file inventory with a description of the source of rights, the types, quantities and formats of the assets and whether editable files are available, and a description of the preview samples provided. Please provide only the materials the discussion actually needs, and avoid providing personal information unrelated to the cooperation in question.
- 2.You must ensure that the information and materials you provide are true, accurate, complete and lawfully obtained, and that you have the right to provide them to us and to authorize us to use them as agreed. Where third parties’ personal information, intellectual property or other lawful rights and interests are involved, you must obtain the necessary consent or authorization in accordance with the law. Where reasonably needed to assess the cooperation and verify rights, we may ask you to provide the necessary proof of identity, of authorization from your organization, or of the source of rights.
- 3.You must provide valid contact details, such as an email address, and notify us promptly of any changes to them. Please keep the files you intend to provide and the related emails safe, send materials to us only through confirmed contact channels, and keep the necessary backups and records of your communications. If you find that materials were sent by mistake, contain errors or were provided without authorization, please notify us promptly.
- 4.Your sending us emails or materials and our receiving materials, replying or carrying out a preliminary assessment do not in themselves mean that the parties have agreed on any procurement, licensing, delivery or other transaction, nor do they constitute a commitment by us to select the materials or to pay any fee. The specific scope of cooperation, rights of use, price, delivery standards and other matters will be agreed separately between the parties.
- 5.If you need to supplement or correct materials you have provided, or wish to withdraw your cooperation proposal, you may contact us through the contact details listed in this Agreement. Doing so does not affect rights and obligations that have already been lawfully established or any valid separate agreement between the parties. Requests to access, copy, correct or delete personal information are handled in accordance with the Copula Website Privacy Policy.
3. General Rules of Conduct

- 3.You must not intentionally create or spread computer viruses or malicious programs through the Website, emails, attachments or any other communication channel, or engage in any other conduct that endangers network, data or information security.
- 4.You must not use unauthorized programs, tools or other technical means to interfere with or disrupt the normal operation of the Website, or obtain or use the Services improperly, such as by faking clicks or generating false requests. Where conduct affects the security or normal operation of the Website, we may, in accordance with the law, take necessary and reasonable measures, including imposing access restrictions.
- 5.You must not impersonate any other person or organization when contacting us, submit false cooperation information, or, without lawful authorization, provide materials, make commitments or communicate in the name of another person or organization.
4. Data Security and Privacy Protection
- 1.We will follow the principles of lawfulness, legitimacy, necessity and good faith, and process relevant information only to the extent needed to provide the Services and keep the Website running securely. For the introductory file packages and related materials you choose to send us by email or otherwise, we will carry out the processing necessary to assess the cooperation, verify the source of rights and contact you. The purposes, methods, scope and retention periods of any processing of personal information are as set out in the Copula Website Privacy Policy and in any other notice given to you in accordance with the law.
- 2.We will take necessary and reasonable technical and organizational measures as required by laws and regulations, including access control and security audits, to protect the security of the relevant information and materials and to prevent unauthorized access, use, disclosure, alteration or loss.
- 3.We value the protection of your personal information and privacy. For how we process your personal information and how you can exercise your related rights, please read the Copula Website Privacy Policy. Where the law requires the consent of you or the individuals concerned, we will obtain that consent in accordance with applicable laws and regulations.
5. Intellectual Property
- 1.The intellectual property rights in the Website and in the related content we provide, including but not limited to web design, page layouts, text, images, icons, audio and video, documents and program code, belong to the Operator or the relevant lawful rights holders and are protected by laws and regulations.
- 2.Except for normal browsing of the Website, downloading materials as instructed on its pages, or as otherwise provided by laws and regulations or agreed between the parties, you may not, without the prior permission of the Operator or the relevant rights holders, copy, modify, disseminate, sell, transfer or license others to use, or otherwise exploit, the content and intellectual property described above.
- 3.You must ensure that the email text, introductory file packages, attachments, preview samples and other related content you send us are lawfully obtained, and that you have the right to provide them to us and to authorize us to use them as agreed. They must not infringe any third party’s intellectual property rights, rights to likeness, reputation, name or privacy, rights and interests in personal information, or other lawful rights and interests, and must not contain state secrets, third-party trade secrets disclosed without authorization, or any other information or data that may not lawfully be provided to us. If your breach of these obligations leads to infringement or any other dispute, you are liable in accordance with the law and must compensate us for any resulting losses that are compensable under the law.
- 4.The rights that you and the relevant lawful rights holders have in the emails, materials and related content you provide do not pass to us automatically because you send us emails, provide materials or use the Services, unless the parties have expressly agreed otherwise.
- 5.You agree that we may receive, store, review and copy the emails, materials and related content you provide to the extent necessary to assess the cooperation, verify the source of rights and communicate with you, and may make them available, subject to confidentiality obligations, to personnel who genuinely need to know them. This authorization does not extend to public dissemination, commercial exploitation or licensing to third parties beyond those purposes. Specific procurement, licensing, delivery and other uses will be agreed separately between the parties; where third-party rights are involved, you must ensure that you have lawful authorization covering the processing described above.
6. Confidentiality
- 1.Any non-public documents, materials and information that either party (the “Disclosing Party”) provides or makes known to the other party (the “Receiving Party”) in the course of assessing cooperation, communicating by email or performing this Agreement, including business plans, technical materials, project materials, financial information, customer information and trade secrets, are confidential information under this Agreement. Without the Disclosing Party’s written consent, the Receiving Party must not disclose such information or use it for any purpose other than the agreed purpose. Where disclosure to employees, advisers or affiliated organizations is genuinely necessary for the agreed purpose, it must be limited to what is necessary, and the Receiving Party must ensure that those persons or organizations are bound by the corresponding confidentiality obligations. Disclosures made to competent authorities in accordance with the law are excepted.
- 2.The Receiving Party must take reasonable measures, no less protective than those it uses for its own confidential information of a similar kind, to prevent unauthorized use, disclosure or leakage of confidential information. Where the parties have signed a separate confidentiality agreement or made other confidentiality arrangements, those arrangements prevail.
7. Changes, Interruption or Termination of the Website Services
- 1.To adapt to changes in laws, regulations and policies, technical upgrades, system maintenance, business adjustments or other circumstances, we may need to change, interrupt or terminate the Services. Except in emergencies or where advance notice is not possible under the law, we will notify you in advance by an announcement on the Website or by other appropriate means, and will deal with related follow-up matters reasonably.
- 2.Please keep an eye on announcements on the Website and on notices we send through confirmed contact channels. A change, interruption or termination of the Website services does not in itself change or terminate any procurement, licensing or other cooperation agreement separately signed by the parties; the related rights and obligations remain governed by those agreements and by applicable laws and regulations.
8. Force Majeure
- 1.In this Agreement, force majeure means objective circumstances that cannot be foreseen, avoided or overcome, such as natural disasters, wars, major public health events or government actions that meet these conditions. Where force majeure affects the performance of this Agreement, the parties will deal with it in accordance with applicable laws and regulations.
- 2.A party affected by force majeure must notify the other party promptly, take reasonable measures to mitigate any losses, and provide the necessary evidence within a reasonable period. Depending on the impact of force majeure, the affected party is partially or wholly exempt from liability in accordance with the law, unless the law provides otherwise. Force majeure occurring after a party has delayed performance does not relieve that party of the corresponding liability for breach.
- 3.If force majeure affects the normal operation of the Website, we will take reasonable measures to restore the service and will inform you about the restoration by appropriate means.
9. Liability for Breach
- 1.If you violate laws and regulations or this Agreement, we may, depending on the nature, impact and severity of the conduct and in accordance with the law, take necessary measures such as giving a warning, requiring you to remedy it, refusing to receive or deleting unlawful materials, restricting access, or suspending or terminating the Services provided to you, and keep the relevant records as required by law. You are liable in accordance with the law and must compensate us for any resulting losses that are compensable under the law.
- 2.If materials you provide, or any other conduct of yours in using the Services, violate laws and regulations or this Agreement or infringe the lawful rights and interests of any third party, and as a result we or our partners face complaints, claims or lawsuits, you must promptly help verify the facts, provide the necessary evidence, and bear the liability that is yours under the law.
- 3.If you unlawfully interfere with the operation of the Website or with other users’ normal use of the Services and cause losses, we have the right, in accordance with the law, to require you to stop the infringement and pay compensation for the resulting losses, including the reasonable costs of enforcing our rights that can be claimed under the law.
10. Disclaimers
- 1.Information shown on the Website about our business, projects and cooperation is for your general information. It does not in itself constitute an offer for a specific transaction, a commitment to conclude a transaction or a guarantee of returns. The specific terms of any cooperation and the parties’ rights and obligations are as set out in a valid agreement separately reached between the parties.
- 2.We will maintain the information and services on the Website reasonably, but because of technical conditions, the network environment, information updates and other factors, we cannot guarantee that the Website will always be free from errors, omissions, interruptions or delays, or that it will meet all your particular needs. We will nonetheless perform the maintenance, notification and security obligations we bear under the law.
- 3.If hacker attacks, malicious programs, network failures or other events cause interruptions or delays to the Services, or information security incidents, we will take reasonable measures to deal with them, and liability will be determined in accordance with applicable laws and regulations and the fault of each party. The occurrence of such events does not in itself exempt us from any liability we bear under the law.
- 4.No limitation of liability or disclaimer in this Agreement applies to personal injury we cause you, or to property loss we cause you intentionally or through gross negligence, nor does any of them exclude or limit any other liability that laws and regulations do not allow to be excluded or limited.
11. Governing Law and Dispute Resolution
- 1.The conclusion, entry into force, performance and interpretation of this Agreement, and the resolution of disputes under it, are governed by the laws currently in force in the mainland of the People’s Republic of China.
- 2.The parties must first seek to resolve any dispute arising from this Agreement or the use of the Services through amicable negotiations. If the negotiations fail, either party may bring proceedings before the Xuhui District People’s Court of Shanghai. Where mandatory provisions of law concerning hierarchical jurisdiction or exclusive jurisdiction provide otherwise, those provisions prevail.
12. General Terms
- 1.This Agreement applies to visits to the Website and to the related provision of materials, enquiries and cooperation communications. Where an agreement separately signed by the parties on a specific cooperation matter is inconsistent with this Agreement, the separately signed agreement prevails for that matter, unless laws and regulations provide otherwise by mandatory provisions.
- 2.If any provision of this Agreement is invalid or unenforceable for any reason, the other provisions remain valid and binding on the parties.
- 3.Provisions of this Agreement that by their nature should continue in effect, including the commitments on the lawful source of and rights in materials, intellectual property, confidentiality, liability for breach, and governing law and dispute resolution, survive the termination of this Agreement.
